The Law To Know

Module 4

Clause libraries and playbooks: standard text, fallbacks and who decides

Even documents that are too varied to automate as a whole are built from clauses that recur. An indemnity, a confidentiality obligation, a governing-law clause and an assignment clause appear in hundreds of contracts, and most organisations have several versions floating around, each slightly different, none known to be the best. A clause library gathers the approved versions in one place, with their purpose, their alternatives and the rules for choosing between them. A playbook goes further: it tells the negotiator what may be agreed without approval, what needs a senior lawyer and what must never be given. This module teaches how to build both, how to select clauses by rule and how to keep them consistent and current.

General education on legal document automation, using invented organisations, documents and figures. It is not legal advice. Clauses and letters are illustrations of structure, not recommended wording: real documents must follow the law that applies and be checked by a lawyer.
