The Law To Know

Capstone

Capstone: Halden Foods and Corbel Logistics

Halden Foods is an invented producer of chilled meals, run by Mr Tomas Halden. For three years it has used Corbel Logistics, a refrigerated haulier, to deliver to supermarkets. In June, in a heat wave, three consecutive deliveries arrived late and above the safe temperature, and a supermarket rejected the stock. Halden lost 320,000 of product and fees, and the supermarket has cut its next order. Corbel says that the refrigeration faults were caused by the supermarket’s loading bay and that its contract limits its liability. Halden’s lawyer, Ms Priya Anand, thinks that Halden has a fair case but a real chance of losing on the cause of the faults and on the limit of liability. Meanwhile, the supply contract expires in four months and both sides want to renew it: Halden would like faster delivery windows and a better price; Corbel would like a longer contract and exclusivity. You act for Halden. You have a benchmark table of past late-delivery settlements, a client who says, ‘I just want my 320,000 back’, and two sessions booked: a without-prejudice meeting on the claim next week, and a commercial meeting on the renewal after that. Everything is invented. Use the tools and write a preparation sheet and a short note for the client.

General education on using data in negotiation, with invented companies, people, disputes and figures. It states common practice in simplified form and does not describe any one country's law or professional rules, which differ and change; rules on candour, misrepresentation, confidentiality and settlement in particular vary. The tools organise your own estimates and cannot predict the result of any real negotiation. It is not legal advice, and it does not replace advice from a qualified lawyer on a real matter.
