Capstone
Capstone: the Marlow & Pryce data room
Brackenridge Components is an invented manufacturer that has agreed in principle to buy the whole share capital of Marlow & Pryce Cartons Ltd, a family-owned packaging company, for 31 million. Signing is planned in four weeks. Your firm acts for Brackenridge and you lead the legal diligence team of three. The seller, Mr Hugh Pryce, has opened a data room. On day two you find that it has 1,290 documents, that several folders are empty, and that the client’s finance director, Ms Imani Okafor, wants a red-flag report by the end of week two. Everything is invented. Use the four tools of the course, and write a short report for the client.
Module 1 of this course is free, and this is not it. Unlock the whole course below, or go back to the course page.

See what is included in All-Access →General education on legal due diligence, using invented companies, contracts, people and figures. It states common practice in simplified form and does not describe any one country's law, which differs and changes; rules on disclosure, the effect of a buyer's knowledge, privilege, data protection, competition law and liability in particular vary. It is not legal advice, and it does not replace advice from a qualified lawyer on a real transaction.
