The Due Diligence Data Room

Golden scales weighing law books against a computer chip in a bright laboratory

A company is being bought, and twenty of its contracts have been put in a data room. You act for the buyer. A pipeline can read all twenty in a second and colour a heat map; it cannot decide what matters to this deal, and it is blind to wording it was not taught. Your job is to run it, doubt it, read the clauses it did not recognise, and write the one page the board will actually read.

  • Twenty invented contracts of Hollin Packaging Ltd: customers, suppliers, a lease, licences and advisers.
  • Ten checks: change of control, assignment, exclusivity, most-favoured-customer, uncapped liability, expiry, renewal deadlines, walk-away rights, drafting faults and foreign law.
  • A heat map, a dashboard of money and dates, an escalation memo, and marking for recall and precision.

Choose the deal

The same twenty contracts, two different transactions. What counts as a red flag changes with the structure of the deal.

Every company, contract, figure and date here is invented. This is training in how to review a data room, not legal advice, and a real review needs a lawyer who has read the contracts.
