The Bakery Flour Contract: A Full Case

Kim owns a bakery and emails a flour supplier: "I'd like to order 200 bags of your premium flour for $6,000, delivered in reasonable batches starting next month." The supplier replies: "Confirmed — 200 bags, $6,000, batches as agreed, subject to a 10% price escalation clause for raw material cost increases." Kim never responds to the escalation clause specifically, but immediately starts scheduling bread production around the expected deliveries. After 2 of 4 planned batches arrive on time, the supplier emails: "Due to a wheat shortage, we're cancelling the rest of the order unless you agree to pay 40% more."
